LLC annual report filed on time in any state

An LLC annual report isn't a tax return — it's a filing with the state where your company is registered that keeps its addresses, managers and registered agent up to date. Miss it and the state charges a penalty and may eventually dissolve the company. We file annual reports in any state for $100 plus the state fee.

Who needs an LLC annual report

Every active LLC
Companies with no income file too: the state cares about up-to-date records, not revenue.
LLCs registered in more than one state
If a company formed in one state does business in another and is registered there as a foreign LLC, a report is usually due in both states.
Owners who missed a deadline
We file the late report, and if the state has already dissolved the company, we help reinstate it.
Owners who live outside the US
State notices go to the registered agent's address and are easy to miss. A non-resident's LLC also has Form 5472 to file.

LLC annual report deadlines and fees by state

The report's name, deadline and fee depend on the state. The details below come from official state websites as of October 2026.

New York · Biennial Statement
Every 2 years, in the calendar month the company was formed. State fee: $9.
Florida · Annual Report
Every year by May 1. Fee: $138.75; filing after May 1 adds a $400 late fee.
California · Statement of Information
First within 90 days of formation, then every 2 years. Fee: $20. The $800 annual LLC tax paid to the Franchise Tax Board is separate from the report.
Texas · Public Information Report
Every year by May 15, filed with the Comptroller along with the franchise tax filing. The tax itself applies only above $2.65 million in revenue (2026 threshold), but the PIR is due even when no tax is owed.
New Jersey · Annual Report
Every year by the last day of the month the company was formed. Fee: $75.
Illinois · Annual Report
Every year before the first day of the company's anniversary month. Fee: $75.
Pennsylvania · Annual Report
Every year by September 30; required since 2025. Fee: $7.
Washington · Annual Report
Every year by the last day of the month the company was formed. Fee: $70, or $95 with the delinquency fee.
Delaware · no annual report
LLCs don't file an annual report. Separately, there is a $400 annual tax for each year the company is on the state's records, due by June 1 of the following year.
Wyoming · Annual Report
Every year by the first day of the anniversary month. Fee: $60 or 0.02% of the company's assets in Wyoming, whichever is greater.

State fees are paid separately from our price. States change fees and deadlines, so we check them on the state website before every filing.

What our annual report service includes

Checking the state record
We look up the LLC in the state registry and check its status, due date and details: addresses, managers, registered agent.
Preparing and filing the report
We complete the report on the state website, file it and send you the state's confirmation.
Registered agent
If the company has no agent or the first year with our agent has ended, we renew it: $180 a year from year two.
Company changes
If the address, name or owners have changed, we file an amendment — from $120.

LLC annual report FAQ

What is an LLC annual report?

It's a filing with the state, not a tax return: it confirms or updates the company's details — addresses, managers, registered agent. States call it different things: a Biennial Statement in New York, a Statement of Information in California, a Public Information Report in Texas.

How much does it cost to file an annual report?

Our fee is $100 per report. The state fee is paid separately: among the states above, it ranges from $7 in Pennsylvania to $138.75 in Florida.

When is the annual report due?

It depends on the state. Some use a fixed date: Florida — May 1, Texas — May 15, Pennsylvania — September 30. Others tie it to the month the company was formed: New York, New Jersey, Illinois, Washington, Wyoming. New York and California require it every 2 years.

What happens if I miss the deadline?

The state charges a penalty and may then administratively dissolve the company. In Florida a $400 late fee applies after May 1, and a company that hasn't filed by the third Friday in September is dissolved. In Wyoming that happens 60 days after the due date, and in Pennsylvania six months after it, starting with reports due in 2027.

Do I need to file if the LLC had no income?

Yes. The annual report doesn't depend on income — every active LLC files it. If you no longer need the company, it's better to dissolve it properly; otherwise state reports and fees keep coming.

Is the annual report a state tax?

No. The report is about the company's record; state taxes are a separate obligation. For example, a California LLC also pays the $800 annual tax to the Franchise Tax Board, while a Delaware LLC files no annual report but pays a $400 annual tax by June 1.

What if the company's details have changed?

If the address, name or owners have changed, we file an amendment with the state without waiting for the annual report. That's from $120, plus the state fee.

What is a registered agent, and do I need one?

It's the company's address in the state for official notices and legal papers. An LLC needs one for as long as it exists, and its details go into the annual report. The first year is included in our LLC formation; from year two it's $180 a year.
