LLC and corporation annual compliance in the US no missed state deadlines
Annual compliance bundles your company's main state and local obligations into one package. We file the state annual report and the state's annual tax where there is one, keep a calendar of your deadlines with reminders, monitor the company's good standing, and renew local business licenses. For LLCs and corporations in any state, fully online, in English or Russian. $250 a year; state fees and taxes are billed separately at cost.
Who needs annual compliance for an LLC or corporation
What our annual compliance package includes
The package covers one company in one state for a full year and has three parts.
We pay state and local fees and the state tax when we file and add them to your invoice at cost. Not included: state professional licenses, registered agent service ($180 a year from year two), company changes (amendments, from $120), tax returns and bookkeeping. You can add any of them.
How annual compliance works: 4 steps
Company check
You send us the company name and state. We look it up in the state registry and check its status, details and upcoming deadlines, including any overdue filings.
A calendar for the year
We list your company's deadlines (state, IRS and local), go over them with you and send you the calendar.
Filings and reminders
We file the annual report and the state's annual tax on time, pay the fees and renew your licenses. For deadlines outside the package, such as tax returns, we email you about 30 days ahead.
Confirmations and the next year
We send you the state and city confirmations and order a certificate of good standing when you need one. Before the next package year starts, we update the calendar.
Annual compliance is $250 a year for one company in one state, plus $100 a year for each additional state. Annual report on its own — $100, registered agent from year two — $180 a year, company changes (amendment) — from $120. State fees and taxes are billed separately at cost. See all prices →
What we need to get started
What happens if you miss a deadline
Almost anything can be fixed, but fixing it usually costs more than filing on time.
LLC and corporation compliance FAQ
How is the package different from a one-time annual report filing?
A one-time filing is $100 and covers a single state report. The $250 yearly package adds the state's annual tax filing where there is one, a calendar of all your company's deadlines with reminders, good standing checks, a certificate of good standing when you need one, and local license renewals.
Are state fees and taxes included in the price?
No. State fees for the report and certificate, local license fees and the state tax itself are paid by us on the company's behalf when we file, then added to your invoice at cost. The package price covers our work: preparing, filing and paying.
Are tax returns and bookkeeping included?
No. We put your tax return deadlines on the calendar and remind you about them, but the returns and the books are separate services. For example, a 1120-S or 1065 return starts at $450, and bookkeeping starts at $200 a month. You can add either to the package.
Is registered agent service included?
No. A registered agent is the company's address in the state for official notices, and you need one for as long as the company exists. The first year is included in our LLC formation; from year two it's $180 a year. You can add it alongside the package.
What is a certificate of good standing, and when do I need one?
It's a state document confirming the company exists and is current on its state obligations. Some states call it something else, such as a certificate of status. A bank, lender, client, or another state where you're registering as a foreign LLC may ask for one. We order it on request as part of the package; the state fee is separate.
My state only requires a report every two years. Do I still need the package?
New York and California require an LLC report every two years, and Delaware LLCs don't file an annual report at all. The company still has yearly deadlines: a California LLC pays the $800 annual tax to the Franchise Tax Board, and a Delaware LLC owes a $400 annual tax by June 1. The price stays the same: in a year without a report, we file and pay the state tax, keep your calendar, check good standing and renew your licenses.
My company is registered in more than one state. What then?
If a company formed in one state is registered in another as a foreign LLC, it usually has a report due in both. The package covers one company in one state; each additional state is $100 a year.
Can I start mid-year, or after a missed deadline?
Yes. The package year runs from the date you pay. We begin with a company check. If a report is already overdue or the company needs to be reinstated with the state, we quote that separately and then keep you on schedule.
